Notice of a Breach, Actual or Threatened. Any impending or threatened event, or the failure of any event to occur, which might result in or constitute a breach of any representation, warranty, or covenant made by such party in this Agreement, any other changes or inaccuracies in any data previously provided or made available to the other parties, or which might threaten consummation of the transaction shall be promptly communicated in writing by each party to the other parties.

In common parlance, these actions can also be seen as bullying when they happen repeatedly. It may be distinguished from a simple insult or reprimand by the consistency of its repetitiveness and the nature's upsetting, disturbing, or menacing nature.
